This Supplier Code of Conduct outlines the ethical, legal, and operational expectations we require of all third parties conducting business with or on behalf of ZoikoTech Inc. or its affiliated entities.
Core Ethical Principles
1. Legal, Regulatory & Contractual Compliance
Suppliers must conduct all activities in full compliance with applicable international, federal, state, and local laws and regulations. This includes, but is not limited to:

- - Export control, trade compliance, and economic sanctions
- - Data protection and privacy legislation (e.g., GDPR, CCPA, DPDP)
- - Telecommunications, AI, and cybersecurity regulations
- - Environmental, health, and safety standards
- - Labor and employment laws, including wage, hour, and benefits compliance
All contractual obligations to ZoikoTech must be fulfilled with transparency and precision. Misrepresentation of capability, credentials, or output will result in contract review or termination.
2. Human Rights, Labor Practices & Inclusion

Suppliers must:

- - Promote diversity, equity, and inclusion at all levels of employment
- - Enforce non-discrimination in hiring, compensation, and promotion practices
We encourage suppliers to adopt inclusive hiring and accessibility practices that mirror ZoikoTech’s culture of innovation through diversity.
3. Data Protection, Cybersecurity & Confidentiality
Suppliers entrusted with access to ZoikoTech systems, data, or intellectual property must:
- Protect all confidential, proprietary, or personal data against unauthorized access, loss, or misuse
- Comply with relevant data privacy regulations across jurisdictions
- Maintain enterprise-grade cybersecurity controls, including encryption, MFA, and vulnerability assessments
- Promptly notify ZoikoTech of any data incidents, breaches, or security risks
- Enter into Data Processing Agreements (DPAs) when handling regulated data
Respect for intellectual property extends to software, documentation, processes, and platform architectures.
4. Ethical Business Conduct & Transparency
Suppliers must engage in fair, honest, and transparent business practices. We expect:
- Zero tolerance for bribery, fraud, embezzlement, or improper influence
- Full disclosure of any actual or potential conflicts of interest
- Truthful and accurate reporting of financial records, invoices, and service outputs
- Prohibition of price fixing, bid rigging, or anti-competitive practices
Suppliers must refrain from offering gifts, entertainment, or favors to ZoikoTech employees that could improperly influence decisions.
5. Environmental Stewardship & Sustainability
ZoikoTech champions environmental responsibility. We expect suppliers to:
- - Comply with all environmental regulations relevant to their operations
- - Minimize environmental footprint through waste reduction, energy efficiency, and pollution control
- - Disclose the use of hazardous substances and manage them responsibly
- - Contribute to sustainability through green procurement and circular supply practices
Preference is given to suppliers demonstrating measurable ESG performance and climate action alignment.
6. Subcontractor Oversight
Suppliers must extend the principles of this Code to their own vendors, subcontractors, and agents. This includes:
- - Conducting due diligence on all downstream partners
- - Ensuring contracts include ethics, compliance, and confidentiality obligations
- - Cooperating with ZoikoTech-led audits and risk reviews when applicable
7. Reporting Misconduct
